Terms of Service

These Terms of Service ("Terms") govern your access to and use of the AGNT platform, products, and services ("Services") provided by 3GEN Internet Corporation ("3GEN", "we", "our", or "us"). By accessing or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you agree to these Terms on behalf of that organization.

1. Use of Services

You may use the Services only in compliance with these Terms and all applicable laws and regulations. You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use of your account.

2. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable laws or regulations.
• Attempt to gain unauthorized access to any part of the Services or related systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services to transmit harmful, offensive, or objectionable content.
• Reverse engineer, decompile, or disassemble any part of the Services.
• Use automated means to access the Services in a manner that exceeds reasonable use.
• Resell, sublicense, or otherwise transfer access to the Services without our written consent.

3. AI-Generated Content

The Services use artificial intelligence to perform tasks and generate content on your behalf. You acknowledge that:

• AI-generated outputs may not always be accurate, complete, or appropriate for your intended use.
• You are solely responsible for reviewing, validating, and taking any action based on AI-generated content.
• We do not guarantee that AI outputs will meet any specific standard of quality, accuracy, or fitness for a particular purpose.
• Communications sent on your behalf by AGNT assistants are your responsibility.

4. Accounts and Billing

Certain features of the Services require a paid subscription. Subscription fees are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly set forth in these Terms or required by applicable law.

We reserve the right to modify pricing with at least 30 days' written notice. Continued use of the Services after a price change constitutes acceptance of the new pricing.

If payment fails, we may suspend or terminate your access to the Services after reasonable notice.

5. Intellectual Property

The Services and all associated content, features, and functionality — including but not limited to software, text, graphics, logos, and user interfaces — are owned by 3GEN Internet Corporation and are protected by intellectual property laws.

You retain ownership of all content and data you provide to the Services ("Your Content"). By using the Services, you grant us a limited, non-exclusive, worldwide license to host, process, and transmit Your Content solely to provide the Services to you.

We do not use Your Content to train AI models without your explicit consent.

6. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in the Privacy Policy.

7. Third-Party Integrations

The Services may integrate with third-party services (e.g., Google, Microsoft, Slack). Your use of those integrations is subject to the respective third-party terms and privacy policies. We are not responsible for the practices or content of third-party services.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, 3GEN INTERNET CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless 3GEN Internet Corporation and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of the Services, Your Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us or through the account settings in the platform.

Upon termination, your right to use the Services ceases immediately. We may retain Your Content for a reasonable period as required by law or for legitimate business purposes, after which it will be deleted in accordance with our data retention policy.

12. Governing Law

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice within the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
